Mass General Brigham to acquire Fallon Health

Deal would bring Worcester-based Fallon Health under Mass General Brigham Health Plan, pending regulatory approval

WORCESTER—Worcester-based Fallon Health is moving forward with plans to join Mass General Brigham Health Plan, marking a significant shift in the local health insurance landscape and raising questions about the future of one of Central Massachusetts’ largest nonprofit employers.

In a joint statement released Thursday, Fallon Health and Mass General Brigham said they are “working together to join Fallon Health with Mass General Brigham Health Plan,” following what Fallon described as a “thoughtful and intentional process” to identify a long-term partner aligned with its mission and strategic vision.

The organizations said the intended combination reflects shared commitments as not-for-profit health plans to expand access and affordability, improve care coordination, and strengthen their ability to serve communities across Massachusetts, with particular emphasis on Medicare and Medicaid populations. Members won’t see any immediate changes, according to the announcement, the organizations said there will be consistent updates as the process moves forward.

Fallon Health, founded in Worcester in 1977, is headquartered downtown and employs more than 1,000 people. The insurer focuses primarily on government-sponsored health insurance programs, including Medicare, Medicaid and PACE, and has long positioned itself as a mission-driven organization serving Central Massachusetts.

In a statement also issued Thursday, Worcester Regional Chamber of Commerce President and CEO Timothy P. Murray said the proposed acquisition reflects broader challenges facing the health care delivery and insurance sectors statewide.

“Today’s announcement that Fallon Health, headquartered in Worcester, will be acquired by Mass General Brigham Health Plan … reflects the uncertainty and challenges in the healthcare space,” Murray said, adding that the decision was likely a difficult one for Fallon’s board and leadership.

Murray also pointed to Fallon Health’s role as a major employer and civic presence in the region, citing nearly five decades of community engagement, volunteerism and philanthropic support focused on young people, seniors and community health.

“It is our hope that as the leaders of Fallon Health, Mass General Brigham Health and their boards go forward with this acquisition process in conjunction with state regulators,” continued Murray, “that Fallon Health’s community-centered mission, presence as a major employer, and philanthropic support of the Central Mass community will continue in a strong and unabated manner for decades to come.”

The transaction is subject to regulatory review. No timeline for approvals or completion was provided.
